Joint Venture

A joint venture is a special business vehicle often used by companies of different nationality to carry out specified business activities. If the corporate form of the joint venture is a legal entity which requires registration, such registration must be completed. A joint venture is often established in the corporate form of an A/S, an ApS or a general partnership. There is no separate legislation on joint ventures.

Danish Stock Company – A/S

Geared towards middle-sized and large companies. Only an A/S may be listed on the Copenhagen Stock Exchange.

  • Capital requirements: Min. DKK 500,000 ($100,000).
  • Liability: Limited to the value of shares subscribed.
  • Management: Mandatory two-tier system. A Supervisory Board of minimum 3 persons, and at least one CEO. No requirements apply as to the residency of the members of the Executive Board or CEO and Supervisory Board.
  • Tax: Corporate income tax rate of 25%

Danish Limited Liablity Company – ApS

Perfectly suited for small and middle-sized companies. Must still be registered at the Danish Commerce and Companies Agency.

  • Capital requirements: Min. DKK 125,000 ($25,000).
  • Liability: Limited to the value of shares subscribed.
  • Management: Optional one- or two-tier systems with either a Supervisory Board or an Executive Board (CEO), or both. No requirements apply as to the residency of the members of the Executive Board or CEO and Supervisory Board.
  • Tax: Corporate income tax rate of 25%
